Terms and Conditions

Please read the following "Terms and Conditions" carefully before using products and services offered by the Stratify Holdings, Inc.

Introduction

This "Terms and Conditions" will apply and govern, the Project Proposal, Cost Specification Documents, Software Requirement Specification and any other documents shared to the client by the Stratify Holdings, Inc., project deliverables resulted from the software development life cycle, maintenance services subscribed from Stratify Holdings, Inc., products and services offered by the Stratify Holdings, Inc., letter of intent or any other document executed between the Stratify Holdings, Inc., and the client.

General

Before the commencement of the project, Stratify Holdings, Inc., shall submit a project proposal, cost specification documents and other documents that will be required due to timely updates to the client. These documents shall specify the project scope to be performed and the payments to initiate the project. Stratify Holdings, Inc., will proceed to next steps on receiving client's consent to proceed. The project milestones and delivery timelines will be included in the above mentioned documents. Stratify Holdings, Inc., will make best efforts to adhere to these timelines, but delays may occur due to unforeseen circumstances. Prior to the activation of the product-license, the client shall agree to the terms and conditions displayed under the particular product by purchasing.

Agreements

Stratify Holdings, Inc., will send you an NDA to sign along with the project proposal or will have published on the website with a provided link to review before purchasing any product or services. If you have your own specifications to enter with us before using our product and services, we are more than happy to receive your NDA and proceed with it. Proceeding with your own NDA never tends to cancel, ignore or override our NDA or its any section. It is the responsibility of the client to contact Stratify Holdings, Inc., in case the client wants to ignore or override any section in our NDA, and only proceed upon Stratify Holdings, Inc.'s, written and signed consent.

Pricing

The Client agrees to make the payments in accordance with the cost specification document shared by the Stratify Holdings, Inc. The Stratify Holdings, Inc., shall be entitled to collect payments from the client for their reasonable incidental expenses which are used for third party goods and services supplied in connection with the provision of the services and products mentioned in the project proposal, cost specification documents, and requirement specification documents, provided under the project. The client shall pay the Stratify Holdings, Inc., for any additional products or services provided by the Stratify Holdings, Inc., which are not specified in the project proposal, cost specification documents, and requirement specification documents. Any such case-by-case charges for any additional service or product shall be invoiced separately from any payments mentioned under the cost specification documents. All payments stated under the "Terms and Conditions" are exclusive of any type of taxes and clients shall be additionally liable for those taxes.

Payments All the recurring payments for services and products provided under the project proposal, and requirement specification documents shall be paid by the client monthly or as agreed otherwise, in advance without a delay. All the one-time payments for services and products provided under the project proposal, and requirement specification documents shall be paid by the client on the due date specified in the agreement. All scheduled payments based on the project proposal are no need of further invoices nor quotations if not stated otherwise, and are expected to be paid on or before a such scheduled date. The Stratify Holdings, Inc., accepts payments via credit card, bank transfers, and any other methods as specified during the purchase process. All transactions related to the products and services offered by the Stratify Holdings, Inc., will be processed in United States Dollar (USD) if not stated otherwise. If the client is making the payment from a different country, the exchange rate and any related fees will be the client's responsibility. All the subscription-based services and products offered by Stratify Holdings, Inc., will be billed on a monthly or annual basis. Payment will be processed on the due date of each month that is calculated based on its purchase date. All the subscription products and services offered by Stratify Holdings, Inc., can be canceled by contacting Stratify Holdings, Inc.'s support team or particular service and product's billing pages/ setting sections if available. No further charges will be made after cancellation. However, no partial payments will be calculated if the usage was less than a billing cycle and it will be charged for the full billing cycle. Refunds will be governed under the "Refunds" section on this "Terms and Conditions" document.

Refunds

All the payments made for services and products offered by Stratify Holdings, Inc., are non-refundable if not stated otherwise. If the client wants to cancel a subscription, the client will not be eligible for any type of refund for the current billing cycle. Subscriptions can be canceled at any time to prevent future charges.

Intellectual Property Rights

All the services and products delivered by Stratify Holdings, Inc., do not offer any source code license to the client if not stated otherwise. All source codes and associated intellectual property relating to the project proposal, cost specification documents, and requirement specification documents solely remain as the property of Stratify Holdings, Inc., if not stated otherwise. Any alteration, reverse engineering, or manipulation of any kind on the end product or the service delivered by Stratify Holdings, Inc., based on the development proposal, cost specification documents, and requirement specification documents may be a breach of United States and international copyright laws. Penalties will be applied under the relevant laws if the said breach is confirmed.

Copyright

All content included in or made available through any Stratify Holdings, Inc.'s, Products or Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, source codes and software is a property of Stratify Holdings, Inc., and/or its affiliates, its service providers, clients and protected by United States and international copyright laws. The compilation of all content included in or made available through any Stratify Holdings, Inc.'s, Products or Services is an exclusive property of Stratify Holdings, Inc., and protected by United States and international copyright laws. All client/user assets and data included in or made available through any Stratify Holdings, Inc.'s Products, Services and Resources may be governed by their own terms.

Termination

The client may terminate the project by providing written notice. In such cases, the client will be responsible for payment for work completed up to the termination date. Stratify Holdings, Inc., reserves the right to terminate the project if the client violates the terms and conditions relevant to this document and other policies. In such cases, any outstanding payment of the client or any penalties if applicable shall be paid immediately.

Changes to the Terms and Conditions

Stratify Holdings, Inc., reserves all right to change, modify, add, or remove any portion of these "Terms and Conditions" in whole or in part, at any time. Changes made in "Terms and Conditions" will be effective immediately when notice of such change is posted on our website with the updated "Terms and Conditions" document. Please visit our website periodically for changes. Your continued use of our products and services after any changes made to these "Terms and Conditions" are posted will be considered acceptance of those changes.
